01 / Agreement
Acceptance & Engagement Scope
These Terms of Service (“Terms”) constitute a legally binding agreement entered into between the enterprise or entity identified in an applicable Statement of Work (“Client”) and TechEvo LLC, operating as Generic Solution (“Company”, “we”, or “us”).
By signing a Statement of Work (SOW), registering for a Modernization Assessment, or deploying engineering pod hours, Client accepts these Terms in full. If Client is entering into this agreement on behalf of a corporation, Client affirms they possess full corporate authority to bind the entity to these provisions.
02 / Intellectual Property
100% Intellectual Property Ownership & Zero Lock-In
The Unencumbered Ownership Clause
Upon satisfaction of corresponding invoices, Client acquires 100% exclusive, perpetual, irrevocable, worldwide ownership of all custom software deliverables, source repositories, database schemas, API contracts, deployment orchestrations, and documentation created under the engagement.
We engineer platforms using transparent, standards-compliant open-source languages and standard cloud primitive building blocks (such as Kubernetes, Go, TypeScript, PostgreSQL, and Rust). We do not insert proprietary runtime engines, closed black-box dependencies, or perpetual royalty obligations. Client is completely free to maintain, rewrite, or transition deliverables internally or with third-party vendors without restriction.
03 / Delivery Model
Engineering Pods & Statements of Work
All engineering services are governed by project-specific Statements of Work executed under this master agreement:
Tier 1 · Fixed-Scope Sprint
Modernization Assessments & Due Diligence
Fixed duration (typically 1 to 3 weeks) with guaranteed deliverables: architectural dependency maps, Strangler Fig modernization roadmaps, and M&A code health reports.
Tier 2 · Dedicated Engineering Pod
Software Modernization & Parallel Rebuilds
Senior pods executing weekly demonstration cycles with zero production downtime guarantees. Handover includes full CI/CD runbooks and internal staff enablement.
04 / Non-Disclosure
Mutual Confidentiality & Trade Secret Protection
Both parties agree that all confidential information—including but not limited to source code, infrastructure credentials, product roadmaps, pricing models, and business telemetry—disclosed during the course of an engagement shall be held in strict confidence.
Neither party shall disclose confidential materials to any third party without express prior written consent. This non-disclosure obligation survives termination of these Terms for a period of five (5) years, and perpetually with respect to source code constituting trade secrets.
05 / Collaboration
Client Responsibilities & Repository Access
To achieve sub-second delivery cadences, Client agrees to provide timely cooperation:
- Timely provisioning of read/write access to necessary Git repositories, staging environments, and sanitized test datasets.
- Designation of a primary Technical Product Owner empowered to verify acceptance criteria and approve sprint milestones within three (3) business days.
- Confirmation that all code and third-party assets provided to Generic Solution are owned or appropriately licensed by Client without infringing third-party rights.
06 / Financials
Fees, Invoicing & Retainers
Fees for services are clearly defined in each SOW. Assessments and sprint packages are billed on milestone schedules. Pod retainers are invoiced bi-weekly or monthly in advance.
Payment terms are Net 15 days unless otherwise contracted. Late balances incur a 1.5% statutory finance charge per month. All third-party cloud infrastructure costs (e.g. AWS or GCP consumption) are billed directly to Client’s cloud tenant to guarantee transparent FinOps auditing.
07 / Verification
Acceptance Testing & 30-Day Bug-Fix Warranty
Deliverables undergo deterministic automated testing (including Playwright end-to-end suites and unit tests) prior to delivery. Upon milestone delivery, Client receives a ten (10) business day acceptance review window.
30-Day Defect Remediation Warranty
Generic Solution warrants that for a period of thirty (30) calendar days following production acceptance, we will rapidly resolve any verifiable deviations from agreed specifications at no additional cost.
08 / Liability
Limitation of Liability
To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, punitive, or consequential damages (including loss of profits, revenue, or business opportunity).
Except for breaches of confidentiality or gross negligence, each party’s aggregate cumulative liability arising from any SOW shall be strictly capped at the total amount actually paid by Client to Company under that specific SOW during the twelve (12) months preceding the claim.
09 / Transition
Termination & Orderly Transition
Either party may terminate an open pod engagement for convenience upon thirty (30) days prior written notice. Either party may terminate immediately for uncured material breach following fifteen (15) days written notice.
Upon termination, Generic Solution commits to an orderly handover: all working branches, test suites, architecture diagrams, and credential keys are transferred to Client in a ready-to-run state.
10 / Legal Jurisdiction
Governing Law & Dispute Resolution
These Terms and all related Statements of Work shall be governed by and construed in accordance with the laws governing TechEvo LLC, without regard to conflicts of law principles. Any dispute arising out of or related to these Terms shall be resolved through confidential, binding commercial arbitration conducted under the rules of the American Arbitration Association (AAA) or equivalent international commercial tribunal.
